As a Project Manager Mergers & Acquisitions (m/f/d) , your responsibilities will include identifying and analyzing M&A opportunities, conducting due diligence reviews, company valuations, and financial modeling. You will also carry out market and competitor analyses to refine the company’s strategy. Support is provided in structuring and negotiating transactions, as well as in preparing reports and presentations for management. Furthermore, you will monitor M&A trends and competitor activity on a regular basis and maintain stakeholder relationships to optimize the transaction process.
Identifying M&A Opportunities : You observe and analyze markets and industries to identify potential target companies that strategically fit the corporate portfolio.
Conducting Due Diligence : You lead and coordinate due diligence reviews, including analysis of financial metrics, legal, tax, and operational aspects of target companies.
Valuation and Modeling : You conduct company valuations using methods such as Discounted Cash Flow (DCF), market comparisons, and transaction multiples, and you develop financial models to support transaction analysis.
Market and Competitor Analysis : You analyze market trends and the competitive landscape to review and further develop the company's equity story.
Transaction Structuring : You support the structuring of transactions, including determining purchase price structure, payment terms, and contractual arrangements.
Negotiation Support : You assist the team in evaluating and negotiating purchase prices and contract terms, based on sound valuation and risk analysis.
Reporting and Presentations : You prepare decision documents, presentations, and regular reports for management and executives.
Monitoring Trends and Competition : You regularly analyze M&A trends in the industry and monitor competitor activity to identify strategic opportunities and risks early on.
Stakeholder Management : You maintain relationships with investors, advisors, banks, and other relevant stakeholders to ensure effective and efficient transaction processes.
Experience in the M&A field, such as in investment banking, corporate finance, private equity, or management consulting
Experience in conducting M&A transactions, including due diligence and company valuation
Ability to independently handle complex analyses, project tasks, and conceptual topics
Strong communication and analytical skills
Excellent German and English language skills, both written and spoken
