About the Team
AuditBoard’s legal department is looking for a hard-working Sr. Contracts Analyst to join our team. In this role, you will assume a wide range of responsibilities, all of which will require critical thinking, innovation, and integrity. We are seeking an individual with a strong work ethic, impeccable attention to detail, high energy, solid project management skills, and a positive attitude. AuditBoard is a fast-growing company, and the Sr. Contracts Analyst will need to manage multiple priorities, work independently, and be proactive. The utmost confidentiality is imperative, as you will be working on sensitive projects and will be privy to confidential information.
Key Responsibilities
• Manage workflow for contract review process (beginning with receipt of requests for contract generation through routing for signatures and final distribution) for a variety of contract types, including commercial agreements, vendor agreements, consulting agreements, marketing and advertising agreements, and event-related contracts.
• Assist with maintenance and improvements of contracts management processes and systems, as well as implementation and enforcement of contract policies.
• Coordinate with cross-functional teams during contract review, acting as a key contact for the legal department by guiding commonly requested edits, non-standard terms, policies, questions, etc.
• Review proposed modifications to contracts and work with internal business partners and third parties to negotiate terms and obtain approvals for modifications as required.
• Draft and revise contract wording to address various situations as they arise.
• Maintain processes between the legal department and other groups, collaborating to improve the contracts administration process continually.
• Assist with other tasks as required or as needed on a growing legal team.
• Review and negotiate NDAs with minimal or no guidance.
• Manage contract database and system.
• Monitor implementation and enforcement of contract policies.
Attributes For a Successful Candidate
• Bachelor’s Degree.
• 6+ years of experience managing contracts (specifically including drafting and negotiation of subscription/technology, event, marketing, and consulting contracts) and contractual operations in a corporate environment.
• Drafting sweepstakes and contest rules, sponsorships, speaker agreements, and filming and liability releases.
• General familiarity with FTC marketing regulations, demand generation/advertising agreements, IP licenses, and trademarks, including familiarity with the USPTO Trademark Electronic Search System (TESS)).
• Ability to follow and understand written processes to ensure successful and correct completion of assigned work.
• Ability to set priorities, be flexible, handle multiple tasks and requests, and to track and follow up on projects.
• Experience with data privacy rules and contracts (preferred).
• Experience with a contract management system, i.e., SFDC
• Experience with a procurement tool, i.e., Zip
