About the Role

Our client, a leading international company, is seeking a Senior Legal Counsel M&A to join its Munich-based legal team. In this high-impact role, you will advise on complex international transactions and strategic projects, working closely with senior management, corporate development, and external advisors.

Key Responsibilities

• Lead and manage legal aspects of M&A transactions, joint ventures, and other strategic investments.
• Draft, review, and negotiate transaction documentation including SPAs, shareholder agreements, NDAs, and term sheets.
• Support post-merger integration and restructuring activities.
• Advise on corporate law, governance, and compliance topics relating to M&A and group structure.
• Liaise with external counsel and coordinate cross-border legal teams.
• Provide proactive, business-oriented legal advice to internal stakeholders.

Requirements

• Fully qualified lawyer (2nd German State Exam) with excellent academic credentials.
• Minimum 6+ years of professional experience in M&A, ideally gained within a leading law firm and/or international in-house legal department.
• Strong understanding of corporate and transaction law in Germany and internationally.
• Fluency in German and English (both written and spoken).
• Excellent communication, negotiation, and stakeholder management skills.
• A pragmatic, solution-oriented mindset and ability to work effectively in a global, fast-paced environment.
