Position Overview Cumulocity is seeking a highly experienced and motivated Corporate Governance Manager to join our team and provide essential support to our Legal, Finance, and Tax departments. Reporting directly to top management, this role is central to ensuring the integrity and stability of our corporate structure as we continue our journey as a leading, multinational B2B SaaS company. The successful candidate will be a proactive and detail-oriented professional responsible for managing all facets of our corporate governance framework. This includes overseeing our global legal entities, including corporate secretarial duties, leading risk and compliance initiatives, and handling our corporate insurance portfolio. This is a key position that requires a strategic mindset and hands-on expertise to build and maintain a world-class governance function that supports our growth in more than 20 countries globally. In this role the candidate will report directly to the CFO. This is a central staff office function (Stabstelle) without personnel responsibility.
Responsibilities Corporate Secretary Services: Maintain all corporate records and statutory registers for the parent company and its subsidiaries. Ensure the company's adherence to all relevant corporate governance codes, regulations, and internal policies. Manage all aspects of board and shareholder meetings, including scheduling, preparing agendas, drafting minutes, and documenting resolutions (at a later stage).
Corporate Legal Entity Management: Oversee the entire lifecycle of our global legal entities, from creation and maintenance to restructuring and dissolution. Ensure all subsidiaries remain in good standing across all jurisdictions of operation, and support the filing of annual reports.. Draft, review, and manage inter-company agreements, and support the finance and tax teams with the necessary corporate tax and transfer pricing documentation and compliance. Coordinate and ensure timely tax filings.
Risk & Compliance Management: Develop, implement, and oversee the enterprise-wide risk management framework to identify, assess, and mitigate legal, financial, and operational risks. Manage and monitor regulatory compliance programs beyond product-specific issues. Oversee the continuous improvement of internal policies and controls to protect the company's assets and ensure operational integrity.
Insurances: Manage the company's comprehensive corporate insurance portfolio, including D&O, General Liability, Fidelity, and Cyber policies. Lead the process for insurance renewals, handle claims management, and act as the primary liaison with brokers and carriers. Continuously assess insurable risks across the business and recommend strategies for mitigation.
Qualifications A degree in finance/ audit, tax or commercial/ business law or a related field A professional qualification as an auditor or tax advisor is highly preferred; alternatively a professional qualification as commercial/ business lawyer A minimum of 5+ years of relevant experience in a corporate governance, corporate legal, or paralegal role within an international company. Proven experience as a corporate lawyer, tax advisor, auditor, or in a similar professional capacity. In-depth knowledge of corporate law in continental and, if possible, common law, jurisdiction, with hands-on experience in corporate secretarial practices and legal entity management. Strong understanding of risk management, compliance frameworks, and corporate insurance principles. Experience with drafting and managing inter-company agreements, as well as familiarity with international tax and transfer pricing concepts, would be a plus. A sound understanding of German business law would be beneficial. Ability to write, speak and understand German is a strong asset. Exceptional organizational skills with a high degree of professionalism and attention to detail. Excellent communication and interpersonal skills, with the ability to collaborate effectively with senior management and cross-functional teams.
