Corporate Governance - Infrastructure Investments

With a small but highly specialized team, the company manages multiple complex infrastructure assets across the globe, including large-scale projects in transportation, energy, and other critical sectors. The Luxembourg office plays a central role in governance, compliance, and corporate services for the group.

What You'll Do :

• Support corporate governance and company secretarial functions across group entities.
• Coordinate Board and shareholder meetings, prepare agendas, materials, and draft minutes.
• Maintain statutory registers, filing, and documentation to ensure compliance with local and international regulations.
• Assist in governance policies, process improvements, and internal reporting.
• Support cross-border transactions, including investments, divestments, and restructurings.
• Liaise with internal and external stakeholders, including auditors and regulators.

Profile :

• 10+ years of relevant experience in governance, legal, or compliance functions, ideally within the fund or infrastructure investment sector.
• Strong understanding of corporate governance, company law, and regulatory frameworks.
• Experienced in managing Board and shareholder processes.
• Excellent project management and organisational skills.
• Fluent in English; French, German, Spanish, or Dutch is a plus.
• Able to thrive in a complex, international, and multicultural environment.
