A client is recruiting an experienced charity Trustee to join their board to help develop governance plans and strategies. As a member of the Governance and Nomination Committee, you will ensure the organization is suitably governed and supported. Applicants should ideally be current or former professionals with significant governance experience, particularly from the not-for-profit sector. Excellent communication and leadership skills, a strong knowledge of the charity and not-for-profit landscape in Ireland, and a commitment to the highest level of corporate governance are required.
The role requires alignment with the organization's values and the time and commitment to fulfill the responsibilities. Previous experience as a Trustee or Company Director is expected. The board meets a minimum of four times per year, with meetings held either virtually or in person in Dublin city centre. Meetings typically last two hours, and Trustees are elected for a three-year term, with the possibility of being re-elected twice.
As a board member with governance responsibilities, you will work collaboratively with other members to oversee the yearly Charities Governance Code Compliance Report and monitor its implementation. You will also be involved in developing relevant governance documentation for Board consideration, advising the Board and Management Team on governance issues, conducting periodic reviews of governance structures, processes, and policies, and overseeing and evaluating Board performance.
