Lead Legal Counsel Corporate Office

As Lead Counsel Corporate Office, you will scale Helsing's global corporate function, overseeing governance and equity structures as the company expands. You’ll partner with executive teams on corporate structure, international growth, and strategic transactions, while helping to build Helsing's AI-powered Legal Operating System. You’ll lead a small legal team across Corporate, Employment, and Compliance, ensuring compliance and effective governance worldwide. This role blends strategic counsel with organizational leadership in a high-stakes, ethically conscious defence tech environment.

• Oversee global corporate governance, including board/shareholder matters, subsidiary management, Delegation of Authority, and statutory filings
• Advise on and manage equity incentive schemes across jurisdictions with capital market compliance
• Line-manage and develop three Legal Counsels (Corporate, Employment, Compliance) within a goal-driven framework
• Coordinate cross-functional legal workstreams for international expansion, entity formation, and market-entry structuring; support M&A and strategic partnerships from a corporate-law perspective
• Contribute to the AI-powered Legal Operating System by identifying automation opportunities within the corporate function

• Full legal qualification (German Volljurist or equivalent) with substantial corporate law experience in top-tier firms and in-house roles
• Deep expertise in German corporate law (GmbH, SE, AG) and international corporate governance
• Experience leading, managing, or mentoring legal teams with clear priorities and structured goal-setting
• Clear, executive-level communication translating legal risk into practical guidance for Finance, People, and C-suite
• Fluency in German and English (written and spoken)
