Department 71A4 M&A, Global Competition & Corporate Transactions provides solution-oriented legal advice and support to business partners worldwide in connection with the global M&A activities of the DHL Group. As a Center of Expertise, the department works closely with regional colleagues to legally support all acquisitions and divestments of equity interests as well as the establishment and dissolution of joint ventures. Senior Expert (m/f/d) 71A4-5 / AT nltd Level 2 (BesGr A14/A15) Key Responsibilities: Subject Matter Law Senior Specialist (m/f/d) Provide comprehensive legal support for global M&A transactions of significant economic relevance, acting as the single legal point of contact for top management and other internal and external stakeholders within the respective M&A project Conduct legal analysis, coordination, negotiation, and transparent presentation of legal issues and risks for (top) management throughout all phases of mergers, acquisitions, and divestments, ensuring the protection of DHL Groups legal interests in line with business requirements, applicable laws, and internal policies Legal structuring of M&A transactions, including the (initial) identification and legal assessment of opportunities and risks Development of action alternatives and decision papers for the highest management levels of the DHL Group Close collaboration with the Global Competition department and other internal stakeholders, e.g. Corporate Development, Corporate M&A, Compliance, Commercial, HR, as well as coordination of external law firms Legal support of due diligence reviews Drafting and negotiation of transaction documentation (e.g. share purchase agreements or shareholders agreements), including translating due diligence findings into contractual provisions to safeguard DHL Groups interests Support of signing and closing phases Involvement in post-closing management processes, e.g. review of warranty claims and participation in and/or support of local legal teams in post-closing meetings or legal matters during the integration phase Act as single point of contact within Legal Services, in close coordination with local colleagues and external law firms Central contact within DHL Legal Services for all legal matters related to the respective M&A project (e.g. due diligence, approval processes, negotiations) Ensure fast and effective exchange of all relevant information and, where applicable, central documentation between internal legal experts (e.g. corporate law, commercial law, IP), external counsel, and the project team Responsibility for providing advice and decision recommendations to (top) management on complex and economically far-reaching legal issues Analyze, implement, and continuously optimize legal processes and policies across the Group to ensure achievement of prioritized business objectives Identification of opportunities and risks and prioritization of quality improvements Definition of internal M&A policies and standards Further development of relevant manuals, training materials, guidelines, and policies Professional Requirements: Second German State Examination in Law, preferably supplemented by an international Master of Laws (LL.M.), or a comparable qualification Many years of relevant professional legal experience in the field of M&A, preferably with a leading international law firm Sound knowledge of corporate and commercial law Proven experience in handling large-scale, complex, and often cross-border transactions and projects Practical experience advising senior executives and key stakeholders within a globally operating company Experience in the areas of LSH and/or e-commerce is an advantage Excellent command of English and German; additional languages are welcome Personal Requirements: Ability to respond flexibly to changing circumstances and unforeseen challenges Strong professional leadership skills in virtual and dynamically changing teams Excellent analytical and conceptual capabilities Independent, structured, and responsible working style Strong negotiation skills, assertiveness, and sense of responsibility Excellent communication and presentation skills Strong stakeholder management skills, also in an international environment Confident and professional demeanor at all levels High level of commitment, reliability, and flexibility Willingness to undertake national and international business travel (less than 25%) Application Notes: Please apply online using the application link provided in the job posting and submit your complete application documents (CV, cover letter, and references).
