Our Legal and Business Integrity team are looking for an experienced Legal Counsel to join them on a 12 month FTC.

Legal Risk and Business Integrity (L&BI) partners with the business, providing specialised legal, commercial and risk management support to enable confident growth. Everything from shaping and negotiating client and supplier contracts, to strategic partnerships, geographical expansion, insurance and company secretarial, restructuring, support for our corporate team (Baringa Enablement), to enterprise risk management.

What you will be doing

  • Prepare and negotiate all types of contracts with Baringa’s clients and sub-contractors in line with the Baringa Contract Risk Scorecards, working closely with the consultancy staff and engagement partner. These will include Engagement Letters, MCAs, Licence Agreements, Reliance Letters, NDAs, Sub-contracts, etc.
  • Prepare and negotiate supplier contracts, working closely with the relevant consultancy staff member or member of the Enablement team.
  • Deliver contract risk analysis to Baringa’s senior management and arrange for escalation of higher risk contract items to Baringa’s risk executive group for approval.
  • Liaise with Baringa’s insurance brokers to ensure client contract language during negotiation remains within coverage.
  • Support the Legal Director (Head of Commercial & Corporate) and Head of Commercial in the maintenance of the existing catalogue of Baringa contract templates, template clauses and model RFP responses and challenge Baringa’s current positions if improvements / updates can be made.
  • Undertake allocated corporate projects as required including the analysis of structures for overseas entities and to work with local law firms and Baringa’s tax advisers in handling such corporate matters.
  • Complete registrations at local Companies House and Data Privacy regulator as necessary.
  • Review and contribute to developing and preparing commercial (pre-contract) propositions for clients from a contract risk perspective; in particular RFP, ITT and RFI responses.

Your skills and experience

  • Qualified solicitor or barrister in England & Wales or a Commonwealth or common law country with 2+ years PQE
  • Good commercial law experience (with emphasis on contracts)
  • Exposure to corporate, company secretarial and data privacy work
  • In-house experience advantageous but not essential
  • Strong contract drafting skills and confident negotiator
  • Ability to present to and work with Baringa’s Leadership Teams
  • Positive, solution-finding mentality to help meet client requirements and to protect Baringa appropriately
  • Organised and with an ability to work independently or as part of a small team as required
