In der Rolle als Legal Counsel Capital Markets law and Disclosure (f/m/x) in der Rechtsabteilung der Deutschen Bank beraten Sie – gemeinsam mit einem Team hochqualifizierter, erfahrener Jurist*innen – die Deutsche Bank in sämtlichen rechtlichen Fragen im Zusammenhang mit den Veröffentlichungspflichten der Bank als Emittentin börsennotierter Wertpapiere, insbesondere im Hinblick auf die Finanzberichterstattung und ESG-Aspekten.

Ihre Aufgaben

• Beratung zu rechtlichen Aspekten der Pflichten der Deutschen Bank als Emittentin börsennotierten Wertpapieren (einschließlich der Finanzberichterstattung und ESG-relevante Themen)
• Rechtliche Beratung zu kapitalmarktrechtlichen Aktivitäten wie Kapitalerhöhungen, Aktienrückkäufen und den dazugehörigen Veröffentlichungspflichten sowie zu bestimmten Aspekten von Transaktionen im Rahmen des Debt Issuance Programme
• Zusammenarbeit mit internen Stakeholdern, einschließlich Treasury und Investor Relations
• Beobachtung rechtlicher und regulatorischer Entwicklungen sowie Bewertung der Auswirkungen auf die Veröffentlichungspflichten der Bank

Ihre Fähigkeiten und Erfahrungen

• Erfolgreich abgeschlossenes juristisches Studium mit zwei überdurchschnittlichen Staatsexamina
• Umfassendes Verständnis des Kapitalmarktrechts, der Berichtspflichten und des Gesellschaftsrechts (mit besonderem Schwerpunkt auf Aktienrecht) in Europa
• Relevante Erfahrung in einer renommierten Anwaltskanzlei und/oder in der Rechtsabteilung eines großen Unternehmens in Deutschland
• Fähigkeit, Risiken sowie Reputations- und wirtschaftliche Aspekte bei der Lösung anspruchsvoller juristischer Fragestellungen angemessen zu identifizieren und abzuwägen
• Hervorragende Kommunikations- und Präsentationsfähigkeiten gegenüber dem Senior Management
• Fähigkeit, Optionen objektiv zu bewerten und regulatorische, steuerliche und buchhalterische Aspekte in die rechtliche Strukturierung einzubeziehen
• Fließende Deutsch- und Englischkenntnisse in Wort und Schrift

Details of the role and how it fits into the team

In the role as Legal Counsel Capital Markets law and Disclosure (f/m/x) in Deutsche Bank’s Legal Department, you will, together with a team of highly experienced senior lawyers, advise Deutsche Bank on all legal matters regarding DB’s disclosure obligations as an issuer of listed securities, in particular public disclosure of financial results and ESG aspects. In addition, you will provide advice with a view to capital market activities including capital increases, share buybacks, and related disclosures as well as on certain aspects of transactions under the Bank’s debt issuance programme.

Deutsche Bank is a global financial institution headquartered in Frankfurt with material operations in branches and subsidiaries all around the world. The Bank’s activities are subject to extensive regulation by the ECB, BaFin, Bundesbank, but also by the Federal Reserve Board, the New York State Department of Financial Services and other regulators. Its shares are listed on the Frankfurt and New York stock exchange.

You will provide advice on the Bank’s activities, transactions and investments in the perimeter described above on a global basis. In doing so, you will interact frequently with senior representatives of the Bank as well as other Infrastructure Functions, Group Finance, Treasury, Compliance and Investor Relations.

Your Key Responsibilities

• Advise on legal aspects for DB’s obligations as issuer of listed securities (including financial reporting and ESG related topics)
• Provide legal advice on capital market activities including capital increases, share buybacks, and related disclosures as well as on certain aspects of transactions under the Bank’s debt issuance programme
• Collaborate with internal stakeholders including Treasury and Investor Relations
• Monitor legal and regulatory developments and assess their impact on the Bank’s disclosure obligations

Your Skills And Experiences

• Successfully completed law studies with two above‑average state examinations
• Broad understanding of capital markets law, reporting requirements and corporate law (with a special focus on stock corporation law) primarily in Europe
• Relevant experience at a well‑respected law firm and/or in a major corporate legal department in Germany
• Ability to identify and appropriately weigh risk and reputational and commercial issues in solving sophisticated legal problems
• Excellent communication and presentation with senior management
• Ability to objectively evaluate options considering i.e. regulatory, tax and accounting aspects next to legal structuring options
• Fluent in English and German (written and spoken)
