Project-Based Legal Specialist will be heavily involved in cases that require cross‑functional analysis between law, taxation, business structure, business strategy, corporate accounting and finance, legal documents, contracts, affiliated transactions, and implementation risk. The main outputs of this role are Legal Memo, Legal Opinion, and Legal Research Paper, which will be used as the basis for Tax Point’s recommendations to clients.
Prepare Legal Memos on specific legal issues arising in client projects, including factual background, key legal issues, relevant regulations, risk analysis, preliminary conclusions, and practical recommendations for both internal teams and clients.
Conduct legal research on issues relevant to client cases, including corporate law, contract law, non‑profit/foundation law, cooperatives, SMEs, affiliated transactions, beneficial ownership, tax planning, corporate tax, VAT, and sector‑specific regulations.
Prepare comprehensive Legal Research Papers for legal issues that require deeper analysis, including regulatory review, legal interpretation, market practice benchmarking, implementation risk, and implications for the client’s business structure or transaction model.
Perform Legal Review of client documents such as deeds of establishment/amendment, business identification numbers, tax identification numbers, cooperation agreements, supplier contracts, service agreements, management agreements, shareholder agreements, intercompany agreements, licensing documents, and other supporting transaction documents.
Prepare Legal Opinions on critical assumptions in tax planning or business structuring, such as transaction validity, contract reasonableness, nominee risk, use of specific legal entities, affiliated transactions, economic benefit distribution, and legal limitations of a proposed structure.
Prepare a list of required legal documents for each project, including corporate documents, licensing documents, tax documents, contractual documents, transaction documents, ownership documents, and documents supporting the relationship between related parties.
Prepare clarification questions for clients to confirm legal facts, ownership structure, affiliated relationships, transaction flow, parties receiving economic benefits, basis of payment, and commercial substance of a transaction.
Review draft contracts or agreements to ensure that rights, obligations, scope of work, fees, payment terms, representations and warranties, limitation of liability, dispute resolution, and risk clauses are clearly structured and legally defensible.
Identify legal risks within tax planning structures, including misuse of legal entities, lack of economic substance, conflict of interest, hidden affiliations, nominee risk, regulatory non‑compliance, reputational risk, and potential disputes with authorities.
Support the tax team in assessing the legal basis of transactions that may affect corporate tax and VAT, including whether a payment should be classified as a service fee, management fee, reimbursement, revenue sharing, purchase of goods, lease, donation, grant, capital injection, or other transaction type.
Provide a second‑layer legal review of Tax Point’s proposed business structures to ensure that the strategy is not only tax efficient, but also legally sound, properly documented, and feasible to implement.
Prepare legal risk matrices covering key issues, regulatory basis, potential impact, likelihood, severity, defensibility position, and recommended mitigation actions for each structure or transaction being reviewed.
Support the preparation of legal sections in final reports, executive summaries, legal memos, legal opinions, and strategic presentations so that complex legal issues can be communicated clearly, practically, and effectively to client management.
