Senior Corporate Law & Corporate Financing Expert (m/f/d)

In this role you implement and develop Flix’s group-wide corporate governance while overseeing the legal aspects of corporate financing. You will manage cap table and equity governance and coordinate shareholder and committee activities, including director changes. You draft and negotiate complex loan agreements and supervise the financing lifecycle, linking financing with potential reorganizations and M&A. You join a growth-minded, ownership-driven team shaping Flix’s international operations and financing strategy.

• Governance topics: rules of procedure, signature regulations, powers of attorney, and approval frameworks
• Cap table and equity governance management with Finance/Tax/People
• Coordinate shareholder and committee work: convening, minutes, written resolutions; manage director changes
• Draft, review and negotiate complex loan/credit agreements (RCF, term loans, syndicated loans)
• Oversee financing lifecycle: amendments, refinancings, extensions, reporting undertakings; coordinate impact on reorganizations and M&A

• Fully German-qualified lawyer
• 8+ years in corporate law with exposure to financing law in international corporate or law firm environment
• Experience in negotiating/drafting shareholder agreements
• Willingness to develop expertise in guarantees, security documents and intercreditor structures
• Business fluent in German and English
• Strong analytical thinking, confident communication and negotiation at C-level; able to manage multiple workstreams
• Hands-on mentality, high self-motivation; strong governance risk awareness
