Principal Legal Counsel - Corporate Law (m/f/d)

As Principal Legal Counsel, you will shape Flix’s group-wide corporate governance and steer corporate financing activities. You collaborate across Finance, Tax and People to maintain a reliable cap table and governance framework, while guiding shareholder and committee processes and executive changes. You will draft and negotiate complex financing agreements and supervise the financing lifecycle, coordinating with M&A considerations. This role combines hands-on governance with high-impact, cross-border transactions in a fast-growing, tech-driven travel company.

• Oversee corporate governance topics (rules of procedure, signature regulations, powers of attorney, approval frameworks)
• Maintain cap table management and equity governance, coordinating with Finance/Tax/People
• Coordinate shareholder and committee work (convening, minutes, written resolutions) and manage director changes
• Draft, review and negotiate complex loan and credit agreements (RCF, term loans, syndicated loans)
• Supervise the financing lifecycle (amendments, refinancings, extensions, reporting undertakings) and coordinate reorganization and M&A consequences

• Fully German-qualified lawyer
• 8+ years in corporate and financing law, ideally international corporate/law firm
• Experience negotiating/drafting shareholder agreements, guarantees, security documents, intercreditor structures
• Business fluent in German and English
• Strong analytical thinking, communication and negotiation skills at C-level, ability to manage multiple workstreams
